These Terms of Service (“Terms”) govern your access to and use of Ember (“the Service”).
By using Ember, you agree to these Terms.
If you do not agree, please do not use the Service.

1. About Ember
Ember is a project and task management tool for individuals and small teams.
The Service is operated by:

2. Eligibility
You must be at least 18 years old to use Ember.
By creating an account, you confirm that you meet this requirement and have the legal capacity to enter into this agreement.
3. Accounts
To use Ember, you must create an account using a valid email address.
You are responsible for:
- Maintaining the security of your account
- All activity that occurs under your account
You may not:
- Share your login credentials
- Use the Service for unlawful or abusive purposes
4. Use of the Service
You agree to use Ember in a lawful and respectful manner.
You may not:
- Abuse, disrupt, or overload the Service
- Attempt to gain unauthorized access
- Reverse engineer or exploit the Service
- Use Ember to distribute malware or illegal content
We reserve the right to suspend or terminate accounts that violate these Terms.
4.1 Prohibited content and behavior (project use)
Ember is a project management tool. You may not use it to:
- Store or share illegal content or content that violates the rights of others
- Organize, facilitate, or coordinate harassment, stalking, threats, or predatory behavior
- Create or share content involving the exploitation of minors, including child sexual abuse material (CSAM)
- Use workspaces, tasks, or files to plan or enable harmful or criminal activity
We will remove such content and may suspend or terminate accounts involved. We may also report illegal activity to appropriate authorities where required.
5. Workspaces and collaboration
Workspaces
A workspace represents a company, client, or team context.
All members of a workspace have access to all projects within that workspace.
Ember does not support:
- Project-level permissions
- Private projects inside team workspaces
Seats
- The workspace owner is always free
- Additional members require paid seats
- Seats are billed per workspace
- A seat is consumed when an invitation is sent to a member, regardless of whether the invitation is accepted
- Seats remain reserved while invitations are pending
- If an invitation is revoked, the seat becomes available again
- Removing a member frees a seat
6. Plans, pricing, and billing
Free plan
Ember offers a free plan for personal use.
The free plan may have limitations, which may change over time.
Paid plans
Paid plans are billed per seat, monthly or yearly, as shown at checkout.
All prices are listed in euros (€). Any applicable taxes, including EU VAT, will be added at checkout unless explicitly stated otherwise.
Payments are processed by Paddle, which is the Merchant of Record for Ember.
Team plans include a 14-day free trial. The trial starts when you activate a team plan and ends after 14 days unless canceled. If you do not cancel before the trial ends, your subscription converts to paid and billing begins.
Billing cycle and plan changes
- Monthly plans are billed in advance each month
- Yearly plans are billed in advance once per year
- Team plan trials run for 14 days before billing starts
- Seat increases and plan upgrades take effect immediately and may result in additional charges for the current billing period
- Downgrades and cancellations take effect at the start of the next billing cycle
- Access to paid features continues until the end of the current billing period after cancellation
7. Education and nonprofit pricing
Reduced pricing is available for eligible educational institutions and non-governmental organizations (NGOs).
To qualify:
- The organization must use a verified organizational domain (e.g.
.edu,.ac,.org, or equivalent) - Eligibility must be validated by Ember
Discounted pricing is not automatic.
Organizations must contact Ember for validation and approval.
Ember reserves the right to approve or revoke discounted pricing if eligibility criteria are no longer met.

7.1 Discount eligibility and verification
If you apply for education, NGO, or disability-related discounts, you are responsible for providing true and accurate information.
Providing false, misleading, or incomplete information may result in:
- Revocation of the discount
- Account suspension
- Removal from the Service
8. Refunds and cancellations
All Ember purchases are for digital services.
Unless required by applicable law:
- Payments are non-refundable
- Unused time or seats are not refunded
- Cancellations take effect at the next billing cycle
EU consumers may have a statutory right of withdrawal within 14 days of purchase, in accordance with EU consumer protection law. Where applicable, refunds will be handled by Paddle as the Merchant of Record.
Statutory rights under EU law are not affected.

9. Backups and data loss
Paid team plans include automatic backups.
However:
- You are responsible for exporting your data if needed
- Ember is not liable for data loss, corruption, or accidental deletion beyond what is required by applicable law
10. Data and privacy
You retain ownership of all content you create in Ember.
Personal data is handled in accordance with the Privacy Policy, which forms part of these Terms.
11. Availability and changes
We aim to keep Ember available and reliable but do not guarantee uninterrupted service.
We may modify or update the Service and will make reasonable efforts to communicate material changes.
12. Termination
You may stop using Ember at any time.
We may suspend or terminate access if:
- These Terms are violated
- We are legally required to do so
After termination, account data may be deleted after a reasonable period.
13. Intellectual property
Ember and its branding are protected by intellectual property laws.
You may not copy, resell, or misuse the Service or branding without permission.
14. Limitation of liability
To the maximum extent permitted by law:
- Ember is provided “as is”
- Liability is limited to the amount paid for the Service in the previous 12 months
Nothing limits liability where such limitation is not permitted under EU law.
15. Governing law
These Terms are governed by the laws of Romania and the European Union.
